| (b) | On May 18, 2015, Mr. Peter R. Kagan resigned from the Board of Directors of Targa Resources Corp. (the “Company”), effective May 18, 2015. Mr. Kagan’s resignation was not as a result of any disagreement with the Company regarding any matter related to its operations, policies or practices. |
