On May 18, 2015, MEDNAX, Inc., a Florida corporation (the “Company”), issued a press release announcing the completion of the previously announced acquisition of Virtual Radiologic Corporation, a leading radiology physician services and telemedicine company.
The purchase consideration for the transaction was $500 million, which includes the assumption of certain net operating loss carryforwards, the cash portion of which consideration was funded with cash on hand and from the Company’s unsecured revolving credit facility.
A copy of the press release is attached hereto as Exhibit 99.1.
