ITEM 5.07 Submission of Matters to a Vote of Security Holders

The Annual Meeting of Shareholders of First West Virginia Bancorp, Inc. (the “Company” or “our”) was held on May 12, 2015 for the purpose of considering and voting on the following:

1. To elect eleven (11) directors to the Company’s Board of Directors to serve until the 2016 Annual Meeting of Shareholders.

2. To adopt a non-binding resolution to approve the compensation of the Company’s named executive officers.

3. To ratify the selection of BKD, LLP as the Company’s independent registered public accounting firm for the year ended December 31, 2015.

4. To transact such other business as may lawfully be brought before the meeting.

The total number of shares of the Company’s common stock entitled to vote at the Annual Meeting was 1,718,730 shares of which 1,461,611 shares representing 85.0% were present at the meeting either in person or by proxy. The following is a summary of the final voting results for each proposal presented to our shareholders:
