On May 13, 2015, Farmers National Banc Corp. (the “Company”) and National Bancshares Corporation (“NBOH”) first sent to their respective shareholders a joint letter (the “Shareholder Letter”) soliciting approval of the merger of NBOH with and into Farmers. A copy of the Shareholder Letter is attached hereto as Exhibit 99.1 and incorporated herein by reference. The Shareholder Letter is furnished herein, as part of this Item 8.01, as Exhibit 99.1. Pursuant to General Instruction B.2 of Current Report on Form 8-K, the information in this Item 8.01 and Exhibit 99.1 shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liability of that section. Furthermore, the information in this Item 8.01 and Exhibit 99.1 shall not be deemed to be incorporated by reference into the filings of the Company under the Securities Act of 1933, as amended (the “Securities Act”), or the Exchange Act, except as may be expressly set forth by specific reference in such filing.
