ITEM 7.01 REGULATION FD DISCLOSURE.
On May 13, 2015, Ashford Hospitality Prime, Inc. (the “Company”) issued a press release announcing that its Board of Directors increased its quarterly cash dividend policy from $0.05 to $0.10 per diluted share for the Company's common stock beginning with the second quarter dividend. This new policy reflects a 100% increase in the common dividend.
Future dividends will be subject to board approval and will continue to be reviewed by the board on a quarter-to-quarter basis. The adoption of a dividend policy does not commit the Board of Directors to declare future dividends or the amount thereof.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
