Results of Operations and Financal Condition.

On May 7, 2015, Adams Resources & Energy, Inc., a Delaware corporation, issued a press release announcing a dividend and financial results for the first quarter ended March 31, 2015. A copy of the news release is furnished as Exhibit 99.1 to this report and is incorporated herein by reference.
