Item 1.01 Entry into a Material Definitive Agreement.
Effective April 30, 2015, Daegis Inc. (the Company or Daegis) entered into Amendment Number Seven (the Amendment) to its Loan and Security Agreement dated as of June 30, 2011 (the Credit Agreement), by and among the Company, the Guarantors thereto, and Wells Fargo Capital Finance, LLC, as administrative agent (in such capacity, the Administrative Agent). The Amendment modifies certain financial covenants in a manner favorable to the Company, increases the Base Rate Margin to 5%, increases the LIBOR Rate Margin to 6% and requires additional borrowings under the revolving credit facility to be subject to the Administrative Agents sole and absolute discretion. The Company has made an additional payment of $1.5 million on the Credit Facility reducing total outstanding debt to $10.1 million. Further, Daegis is currently working to secure a loan with a different lender to refinance the outstanding debt existing under the Credit Agreement.
The foregoing is intended only to be a summary of the Amendment and is qualified by reference to the Amendment which is filed as Exhibit 10.1 hereto.
