Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 28, 2015, the Compensation Committee of PVH Corp. (the “Company”) approved an increase to the base salary of Daniel Grieder, a named executive officer of the Company. The increase from €769,000 to €859,000 includes an ordinary course increase to reflect Mr. Grieder’s performance and also includes an increase to address the impact of the recent decoupling of the Swiss franc and the euro. Mr. Grieder, who works in our European headquarters in Amsterdam, the Netherlands and is paid in euros, is a Swiss citizen. The adjustment reflects that Mr. Grieder lives part time in Amsterdam and part time in Switzerland. The change will be retroactive to April 1, 2015.
