Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On May 1, 2015, First Citizens Banc Corp (“the Company”) filed a Certificate of Amendment with the Ohio Secretary of State to amend Article FIRST of its Amended Articles of Incorporation to change its name from First Citizens Banc Corp. to Civista Bancshares, Inc. The amendment to the Company’s Amended Articles was adopted and approved by the Board of Directors in accordance with Section 1701.70(B)(6) of the Ohio Revised Code. The new stock symbol for the Company will be “CIVB” (formerly “FCZA”), to be effective May 4, 2015 on the NASDAQ Capital Market. Additional information regarding the name change is provided in the Company’s press release filed as Exhibit 99.1 hereto and incorporated herein by reference.
