Item 2.02. Results of Operations and Financial Condition.
On April 30, 2015, Textura Corporation (the “Company”) issued a press release reporting its financial results for the quarter ended March 31, 2015. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1.
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 29, 2015, the Board of Directors (the “Board”) of the Company appointed David Habiger as interim Chief Executive Officer effective April 30, 2015. He replaces Patrick Allin, who will continue with the Company as Executive Chairman. Mr. Habiger’s compensation arrangement has not yet been determined.
Mr. Habiger, age 46, has been a member of the Board since December 2012. From July 2011 until its sale in August 2012, Mr. Habiger served as the Chief Executive Officer of NDS Group, a software solutions company for the pay television industry. From 2005 to March 2011, Mr. Habiger was the President and Chief Executive Officer of Sonic Solutions, a computer software company.
