Item 2.02. Results of Operations and Financial Condition.
On April 28, 2015, The Corporate Executive Board Company (the “Company”) issued a press release with respect to its earnings for the three months ended March 31, 2015 and updated its 2015 guidance. On April 24, 2015, the Company’s Board of Directors approved a cash dividend for the second quarter of 2015 of $0.375 per share payable on June 30, 2015 to shareholders of record on June 15, 2015. A copy of the Company’s press release is attached hereto and furnished as Exhibit 99.1.

Item 8.01. Other Events.
On April 28, 2015, the Company announced the change of the Company’s name, effective May 15, 2015, to CEB Inc. from The Corporate Executive Board Company. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
