Item 5.07. Submission of Matters to a Vote of Security Holders
On April 22, 2015, Lynden Energy Corp. (the Company) held its 2015 Annual General Meeting of Shareholders (the Annual Meeting). As of the close of business on March 16, 2015, the record date for the Annual Meeting, 130,198,411 shares of the Companys common shares, without par value (Common Shares), were issued and outstanding and entitled to vote at the Annual Meeting, of which 75,171,530 (approximately 58%) were present in person or by proxy. The proposals are described in detail in the Companys proxy statement for the Annual Meeting filed with the Securities and Exchange Commission (SEC) on March 27, 2015. The final results for the votes regarding each proposal are set forth below.
PROPOSAL NO. 1: NUMBER OF DIRECTORS; NOMINATION AND ELECTION OF DIRECTORS
The Companys shareholders voted to determine the number of directors at five for the following year. The voting results were as follows:
