(d) Election of a New Director
The Board of Directors (the "Board") of GP Strategies Corporation (the "Company") elected Laura L. Gurski as a new director of the Company effective April 20, 2015. As of the date of this filing, the Board has not determined on which committees Ms. Gurski will serve. There are no arrangements or understandings between any new Director and any other person pursuant to which such new director was selected to serve as a director of the Company, nor is the new director a participant in any related party transaction required to be reported pursuant to Item 404(a) of Regulation S-K. Ms. Gurski’s compensation as a director will be consistent with that provided to all Company non-employee directors, as described in the Company’s most recent proxy statement filed with the Securities and Exchange Commission.
A copy of the Company’s press release announcing the election of Ms. Gurski is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
