Item 8.01. Other Events.
On April 20, 2015, we were notified by Toyama Chemical Co., Ltd. (a subsidiary of FUJIFILM Holdings Corporation), our partner for solithromycin in the Japanese market, that it will be making a milestone payment to us in the near future, in the amount of $10 million. The payment is based on the Japan Patent Office issuing, in the first quarter of 2015, a Decision of Allowance for Cempra’s patent covering certain crystal forms of solithromycin. Cempra expects to receive the patent certificate soon and that the patent will soon be published in the Japanese patent gazette.
