Item 2.02. Results of Operations and Financial Condition.
On April 20, 2015, BancorpSouth, Inc. (the “Company”) issued a news release announcing its financial results for the first quarter ended March 31, 2015. A copy of the news release is furnished as Exhibit 99.1 to this Current Report on Form 8-K (this “Report”) and is incorporated herein by reference in its entirety.

The Company will conduct a conference call at 10:00 a.m. (Central Time) on April 21, 2015 to discuss its financial results for the first quarter ended March 31, 2015.
