The information included as Exhibit 99.1 to this Report will be made available to investors by STORE Capital Corporation, a Maryland corporation (the “Company”), in connection with the Morgan Stanley 2nd Annual Net Lease Summit.  This information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, and is not incorporated by reference into any filing of the Company, whether made before or after the date hereof, regardless of any general incorporation language in such filing.

Item 8.01.                Other Events.

On April 16, 2015, the Company announced that it issued $365 million of 7- and 10-year fixed-rate notes designated as STORE Master Funding Net Lease Mortgage Notes, Series 2015-1 in a private placement to qualified institutional buyers.  The notes were issued in two classes, $95 million of 7-year Class A-1 notes at an interest rate of 3.75%, and $270 million of 10-year Class A-2 notes at an interest rate of 4.17%.  Both classes of notes were rated A+ by Standard & Poor’s Ratings Services.

A copy of the press release announcing the issuance of the notes is included as Exhibit 99.2 to this Report and is incorporated herein by reference.
