Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 14, 2015, the Board of Directors (the “Board”) of Cabela’s Incorporated (the “Company”) appointed James F. Wright to serve as a member of the Board. Mr. Wright has not been appointed to serve on any Board committees at this time.

Pursuant to policy adopted by the Board under the terms of the Company’s 2013 Stock Plan, Mr. Wright was automatically granted an option to purchase 5,000 shares of the Company’s common stock on the date of his appointment to the Board. The exercise price per share of common stock purchasable under the option is the closing price of the Company’s common stock on the date of grant, and the option vests on the first anniversary of the grant date. Mr. Wright also will participate in the standard non-employee director compensation arrangements described in the Company’s proxy statement for its 2014 Annual Meeting of Shareholders, which was filed with the Securities and Exchange Commission on April 22, 2014.
