Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 10, 2015, Charles E. Harper resigned from his position as Senior Vice President and Chief Strategy Officer of Semtech Corporation (the “Company”) to become Chief Executive Officer of Jariet Technologies, Inc. (“Jariet”), a newly-formed company to which the Company divested its defense and microwave communications infrastructure business in exchange for a minority equity interest in Jariet.

Item 7.01 Regulation FD Disclosure

On April 14, 2015, the Company issued a press release announcing the completion of the previously announced divesture of its defense and microwave communications infrastructure business to Jariet.  A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.
