Departure of Directors and Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers Compensation Arrangements. In consideration for Andrew Van Noy's service as the Chief Executive Officer and President of Warp 9, Inc. (the "Company") on March 20, 2015, the Company granted to Mr. Van Noy 15,000,000 stock options to purchase up to 15,000,000 shares of the Company's common stock (the "Options") pursuant to a nonstatutory stock option agreement, the form of which was filed by the Company as Exhibit 10.18 to the Report on Form 10-Q/A filed by the Company on February 17, 2015. The Options are exercisable for a period of seven years from the date of grant at an exercise price of $0.013 per share and vest pursuant to the following vesting schedule: 1/36 per month commencing on March 20, 2015 until all of the Options have vested.
