Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Virginia National Bankshares Corporation (the “Company”) and Ronald E. Baron mutually agreed to terminate Mr. Baron’s employment effective April 2, 2015. Mr. Baron served as Chief Financial Officer of the Company and its bank affiliates, Virginia National Bank and VNBTrust, N.A. The Company and Mr. Baron have entered into a salary continuation agreement and release, subject to Mr. Baron’s seven-day statutory revocation right, under which Mr. Baron will receive salary continuation payments for up to six months. The Company has commenced a search for a new Chief Financial Officer.
