Item 8.01. Other Events.

On April 8, 2015, Mallinckrodt International Finance S.A. and Mallinckrodt CB LLC (together, the “Issuers”), each of which is a wholly owned subsidiary of Mallinckrodt plc (“Mallinckrodt” or the “Company”), entered into an agreement which will result in the private placement on April 15, 2015 of $700 million of 4.875% senior unsecured notes due April 15, 2020 and $700 million of 5.500% senior unsecured notes due April 15, 2025 (collectively, the “Notes”), which is in the aggregate $200 million more than the previously anticipated amount announced by Mallinckrodt.

Mallinckrodt expects to use the proceeds from the Notes to partially finance its previously announced acquisition (the “Acquisition”) of all of the capital stock of Compound Holdings II, Inc. (the “Target”) and to pay certain fees and expenses in connection with the Acquisition and the consummation of the Notes offering described above. Ikaria, Inc. (“Ikaria”) is a wholly-owned subsidiary of the Target.

In the event that (i) the Ikaria acquisition is not consummated on or before July 7, 2015, or (ii) the Stock Purchase Agreement, dated as of March 5, 2015, by and among Mallinckrodt, Mallinckrodt Enterprises LLC, the Target and Compound Holdings I, LLC is terminated in accordance with its terms at any time prior thereto, then the Issuers will be required to redeem all of the Notes at the issue price plus accrued and unpaid interest, if any, to, but excluding, the redemption date.

The Notes will initially be jointly and severally guaranteed, subject to certain exceptions, on an unsecured, unsubordinated basis by Mallinckrodt and each of its subsidiaries (other than the Issuers) that guarantees the obligations under the Issuers’ existing senior secured credit facilities, which subsidiaries, after the consummation of the Ikaria acquisition, are expected to include the Target, Ikaria and certain of their subsidiaries.

The Notes were offered only to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to certain non-U.S. persons in accordance with Regulation S under the Securities Act.

The Notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold without registration unless an exemption from such registration is available.
