Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 26, 2015, Mr. John F. Kirby, 68, notified The Navigators Group, Inc. (the “Company”) that he will retire from the Board of Directors of the Company (the “Board”) effective as of May 21, 2015, the date of the Company’s Annual Stockholder Meeting and the conclusion of Mr. Kirby’s current term. Mr. Kirby is the chairman of the Underwriting Advisory Committee of the Board and also serves as a member of the Compensation and Corporate Governance Committees. Mr. Kirby has been a director of the Company since 2004.
