On April 1, 2015, Mavenir Systems, Inc. (“Mavenir”) filed a Solicitation/Recommendation Statement on Schedule 14D-9 (the “Schedule 14D-9”) relating to the offer by a subsidiary of Mitel Networks Corporation (“Mitel”) to purchase all of the issued and outstanding shares of common stock of Mavenir, which Schedule 14D-9 is incorporated herein by reference.
