Item 5.07. 
Submission of Matters to a Vote of Security Holders.

A special meeting of stockholders (the “Special Meeting”) of Baker Hughes Incorporated (“Baker Hughes”) was held on March 27, 2015 to vote on the following three matters: (i) to adopt the Agreement and Plan of Merger (as it may be amended from time to time, the “Merger Agreement”), dated as of November 16, 2014, by and among Halliburton Company (“Halliburton”), Red Tiger LLC and Baker Hughes, (ii) to approve the adjournment of the Special Meeting if necessary or advisable to permit further solicitation of proxies in the event there are not sufficient votes at the time of the Special Meeting to adopt the Merger Agreement and (iii) to approve, on a non-binding, advisory basis, the compensation that will or may become payable to Baker Hughes’ named executive officers in connection with the merger. The proposals are described in detail in the joint proxy statement/prospectus filed with the Securities and Exchange Commission by Baker Hughes on February 19, 2015.
 
As of the close of business on February 17, 2015, the record date for the Special Meeting, there were 434,522,135 shares of Baker Hughes common stock issued and outstanding and entitled to vote at the Special Meeting.  332,395,588 shares of Baker Hughes common stock were represented in person or by proxy at the Special Meeting, constituting a quorum.  A summary of the voting results for the proposals is set forth below:

Proposal 1: Adoption of the Merger Agreement

Baker Hughes stockholders adopted the Merger Agreement.  The following are the tabulated votes “For” and “Against” this proposal, as well as the number of “Abstentions” and “Broker Non-Votes”:

Proposal 2: Adjournment of the Special Meeting

Because Baker Hughes stockholders adopted the Merger Agreement, the vote on the proposal to approve the adjournment of the Special Meeting if necessary or advisable to permit further solicitation of proxies in the event there are not sufficient votes at the time of the Special Meeting to adopt the Merger Agreement was not called.

Proposal 3: Approval, on a Non-Binding, Advisory Basis, of the Compensation Payable to Named Executive Officers

Baker Hughes stockholders approved on a non-binding, advisory basis, the compensation that will or may become payable to Baker Hughes’ named executive officers in connection with the merger.  The following are the tabulated votes “For” and “Against” this proposal, as well as the number of “Abstentions” and “Broker Non-Votes”:

The closing of the merger is subject to regulatory approval and other closing conditions, and is expected to occur late in the second half of 2015.
