Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On March 24, 2015, XRpro Sciences, Inc. (the “Company”) filed a Certificate of Amendment to the Second Amended and Restated Certificate of Incorporation which effected a 1-for-2 reverse stock split of the Company’s common stock, effective as of 5:00 p.m. on March 25, 2015.
