(d) On March 24, 2015 the Board of Directors (the “Board”) of Neenah Paper, Inc. (the “Company”) elected Margaret S. Dano to serve as a Class II director of the Company to replace Dr. Mary Ann Leeper who is retiring from the Board on May 21, 2015.  In conjunction with Ms. Dano’s appointment to the Board, she has also been named to serve on the Company’s Nominating and Corporate Governance Committee, to be effective on May 20, 2015.  The press release announcing the election of Ms. Dano is attached as Exhibit 99.1 to this Current Report on Form 8-K.
