Item 7.01 Regulation FD Disclosure.
On March 24, 2015, we issued our Year-End 2014 Earnings Release and distributed our Year-End 2014 Investor Update Letter. A copy of the press release and investor letter, which are hereby incorporated into this filing in their entirety, are attached to this Current Report on Form 8-K as Exhibits 99.1 and 99.2, respectively.
The information furnished under this Item 7.01 of this Current Report on Form 8-K, including Exhibits 99.1 and 99.2, shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.
Item 8.01 Other Events.
On March 18, 2015, our board of directors authorized a daily distribution to our stockholders of record as of the close of business on each day of the period commencing on April 1, 2015 and ending June 30, 2015.
The distributions will be calculated based on 365 days in the calendar year and will be equal to $0.001643836 per share of common stock, which is equal to an annualized distribution rate of 6.0% assuming a purchase price of $10.00 per share. These distributions will be aggregated and paid in cash or shares of our common stock pursuant to our distribution reinvestment plan monthly in arrears. The distributions declared for each record date in the April 2015, May 2015 and June 2015 periods will be paid in May 2015, June 2015 and July 2015, respectively, only from legally available funds.
