Item 8.01 — Other Events

Egalet Corporation’s (“Egalet”) chief commercial officer Deanne F. Melloy has returned to work following the amicable resolution of the previously-disclosed legal action commenced by Shionogi Inc. against Ms. Melloy, which had resulted in a temporary restraining order precluding Ms. Melloy from working at Egalet.   Egalet also previously disclosed that Shionogi Ltd., an affiliate of Shionogi Inc., had sent Egalet a notice of breach of the License and Collaboration Agreement (the “License Agreement”) in connection with Egalet’s hiring of Ms. Melloy. This matter has also now been amicably resolved, and the License Agreement remains in full force.
