Other Events.
|
On June 3, 2013 and July 2, 2013, two shareholders of Biglari Holdings Inc. (the “Company”) filed derivative actions putatively on behalf of the Company against the members of our board of directors in the United States District Courts for the Southern District of Indiana and the Western District of Texas. The actions were consolidated in the Southern District of Indiana in 2014.
On March 18, 2015, the United States District Court for the Southern District of Indiana granted our motion to dismiss in its entirety the derivative actions. In addition, the Court issued judgment on all counts in favor of the Company and its directors.
