Item 8.01 Other Events.

On March 13, 2015, Aveo Pharmaceuticals, Inc. (the “Company”) received notification from the Listing Qualifications Department (the “Staff”) of The NASDAQ Stock Market notifying the Company it had regained compliance with NASDAQ Listing Rule 5450(a)(1) (the “Rule”), which requires a minimum $1.00 per share bid price for the Company’s common stock. The Company had previously reported its receipt of a deficiency letter from the Staff notifying the Company that the bid price for the Company’s common stock had closed for a period of 30 consecutive days below the minimum $1.00 per share requirement for continued inclusion on The NASDAQ Global Market pursuant to the Rule.
