Beginning November 16, 2014 and ending on March 5, 2015, the Company (a) issued 6,300,000 shares of common stock to thirteen (13) accredited investors in private offerings for total gross proceeds of $315,000, and (b) issued 1,488,616 shares of common stock for services provided to the Company. No commissions were paid. The shares of common stock were offered and sold in reliance upon exemptions from registration pursuant to Section 4(2) of the Securities Act of 1933, as amended, and Regulation D promulgated thereunder.
