(b) On March 11, 2015, Targacept, Inc. (the “Company”) terminated the employment of Steven M. Toler, PharmD., Ph.D., Vice President, Clinical Pharmaceutical Sciences of the Company, effective March 31, 2015. Under the Company’s previously disclosed employment agreement with Dr. Toler dated June 28, 2013, Dr. Toler will receive severance benefits consistent with a termination other than for just cause within the meaning of the employment agreement. Dr. Toler’s termination was not due to any disagreement relating to the Company’s operations, policies or practices.
