Item 8.01      Other Events

 

On January 26, 2015, Lakes Entertainment, Inc. (“Lakes”) and Sartini Gaming, Inc. (“Golden”), which owns and operates Golden Gaming, LLC, announced the proposed merger transaction pursuant to the Agreement and Plan of Merger, dated January 25, 2015 (“Merger Agreement”), among Lakes, Golden, LG Acquisition Corporation, and The Blake L. Sartini and Delise F. Sartini Family Trust.

 

Global Gaming Business News released a podcast interview of Lyle Berman, Lakes’ Chief Executive Officer and Chairman, dated March 14, 2015. Mr. Berman made certain comments regarding the potential merger between Lakes and Golden. A copy of the transcript of his comments during the podcast relating to the merger is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
