Item 7.01. Regulation FD Disclosure
On March 16, 2015, Vonage Holdings Corp. (the “Company”), announced that it had entered into a definitive agreement to acquire privately-held Simple Signal Inc., a leading provider of Unified Communications-as-a-Service and collaboration solutions to small and medium businesses, for $25.25 million in cash and stock. The full text of the press release issued in connection with the announcement is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
In addition, a copy of a slide presentation that the Company will use during investor presentations, including a presentation at the Sidoti & Company, LLC Nineteenth Annual Emerging Growth Research Institutional Investor Forum in New York on Monday, March 16, 2015 at 10:00 a.m. EDT, is furnished with this Current Report on Form 8-K (“Current Report”) as Exhibit 99.2 and is incorporated by reference herein.
