Explanatory Note
This Current Report on Form 8-K/A (“Amendment No. 2”) amends our Current Report on Form 8-K, filed on October 21, 2014, as amended by the Current Report on Form 8-K filed on December 30, 2014 (“Amendment No. 1”). The Current Report on Form 8-K and Amendment No. 1 included an Exhibit 10.2 that is being re-filed herewith to include disclosure of certain durational terms contained in the Binding Term Sheet referenced herein.
