Franklin Financial Network, Inc. Announces the Launch of an Initial Public Offering

Franklin, Tenn., (3/16/15) – Franklin-based Franklin Financial Network Inc., the holding company of Franklin Synergy Bank, announced today the launch of its initial public offering. An amended Form S-1 with the U.S. Securities and Exchange Commission (SEC) has been filed in connection with its proposed initial public offering (IPO).

Franklin Financial Network Inc. plans to sell 2,400,000 shares of common stock at a currently estimated price range of $24.00 to $27.00 per share. The underwriters may also exercise their option to purchase up to an additional 360,000 shares from the Company.

Franklin Financial Network Inc.’s amended registration statement includes its audited 2014 financial results. The company has been approved to list its common stock on the New York Stock Exchange, subject to official notice of issuance, under the symbol “FSB,” reflecting the company’s primary asset, Franklin Synergy Bank.

BofA Merrill Lynch is acting as sole book-running manager of the offering. Raymond James is acting as lead-manager and Sterne Agee is acting as co-manager.
