Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.
(b) On March 10, 2015, Ms. Venessa Green, Chief Financial Officer of National American University Holdings, Inc. (the “Company”), notified the Company of her decision to resign from her position effective March 23, 2015, in order to pursue other opportunities. Ms. Green’s resignation was a personal decision and not due to any disagreement with the Company’s management team, operations, financials, policies or procedures. Dr. Ronald Shape, the Company’s Chief Executive Officer, will serve as interim chief financial officer while the Company completes a search for a new Chief Financial Officer.
A copy of the press release announcing the foregoing is attached hereto as Exhibit 99.1 and incorporated by reference herein.
