(b) Timothy VanderWal, a member of the board of governors of Highwater Ethanol, LLC (the "Company"), resigned from his position as a governor effective March 13, 2015.

Results of 2015 Annual Members' Meeting
On March 12, 2015, the Company held its 2015 annual members' meeting ("2015 Annual Meeting") to vote on the election of three governors whose terms were scheduled to expire in 2015.
Proposal One: Election of Governors
George Goblish, Warren Pankonin and Luke Spalj were elected by a plurality vote of the members to serve terms which will expire in 2018. The votes for the nominees for governor were as follows:
