Item 2.02 Results of Operations and Financial Condition

On March 9, 2015, Shea Homes Limited Partnership (the “Company”) disclosed new home sales and active selling communities for the two months ended February 28, 2015 in the accompanying Exhibit 99.1 attached hereto.

The information contained in this Item 2.02 and in the accompanying Exhibit 99.1 attached hereto shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”) or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933, as amended (the “Securities Act”) or the Exchange Act.
