Item 3.03 Material Modification to Rights of Security Holders.
On March 4, 2015, the Board of Directors of Furmanite Corporation (the “Company”) approved a change to the terms of the Company’s existing Rights Agreement (the “Rights Agreement”), dated as of April 15, 2008, by and between the Company and The Bank of New York Trust Company, N.A. (the “Rights Agent”) to accelerate the Final Expiration Date of the rights to the close of business on March 6, 2015, effectively terminating the plan as of such date.
The Rights Agreement, a copy of which was previously filed as Exhibit 4.1 to the Company’s Form 8-A/A filed on April 18, 2008, is incorporated by reference, and the foregoing description is qualified in its entirety by reference to the Rights Agreement.
