Item 2.02 Results of Operations and Financial Condition.

On March 5, 2015, Ironclad Performance Wear Corporation issued a press release regarding its financial results for the fourth quarter and the fiscal year ended December 31, 2014. A copy of the press release is being furnished as Exhibit 99.1 to this report and is incorporated herein by reference.
