Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On March 4, 2015, Ascena Retail Group, Inc. (the “Company”) issued a press release announcing the appointment of Randy L. Pearce to the newly created role of Lead Independent Director, the adoption of a majority voting standard for uncontested director elections and other corporate governance changes. A copy of this press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 5.03.
