Item 1.01 Entry into Material Definitive Agreement.
On February 19, 2015, Bespoke Tricycles, Inc. (the “Registrant”) closed a private placement of 100,000 common shares at $0.25 per share for a total offering price of $25,000. The common shares were offered by the Company pursuant to an exemption from registration under Regulation S of the Securities Act of 1933, as amended. The private placement was fully subscribed to by one non-U.S. person.
For all the terms and provisions of the private placement, reference is hereby made to such document annexed hereto as Exhibits 10.1. All statements made herein concerning the foregoing are qualified in their entirety by reference to said exhibit.
