Item 7.01 Regulation FD Disclosure.
On February 26, 2015, Regions Financial Corporation (“Regions”) announced the Reference Yield, Total Consideration and Tender Offer Consideration (each as described in the Offer to Purchase relating to the tender offer) for the previously announced cash tender offer by Regions Bank, a wholly-owned subsidiary of Regions, for up to an aggregate of $250 million of Regions Bank’s outstanding 7.50% Subordinated Notes due 2018. A copy of the press release announcing the consideration for the tender offer is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
