On February 26, 2015, American Tower Corporation (the “Company”) issued a press release (the “Press Release”) announcing that it had priced its concurrent offerings of 23,500,000 shares of its common stock at $97.00 per share and 12,500,000 depositary shares, each representing a 1/10th interest in a share of the Company’s 5.50% Mandatory Convertible Preferred Stock, Series B, at $100.00 per depositary share. A copy of the Press Release is filed herewith as Exhibit 99.1, and is incorporated herein by reference.
