Item 5.02 – Departure of Directors or Certain Officers; Appointment of Certain Officers.

On February 20, 2015, the Board of Directors of TPG Specialty Lending, Inc. (the “Company”) appointed Jennifer Gordon to serve as a Vice President and the Chief Compliance Officer of the Company, replacing Jennifer Mello.

Since 2014, Ms. Gordon has been a Managing Director and the Chief Compliance Officer and Deputy Chief Operating Officer of TPG Special Situations Partners (“TSSP”). Prior to joining TSSP, from 2004 to 2014, she held various positions at Goldman, Sachs & Co., including most recently as Co-Head of Americas Securities Division Compliance. Ms. Gordon received her J.D. from Fordham University School of Law and B.A. from the University of Michigan.

Ms. Gordon will serve as the Company’s Chief Compliance Officer until her resignation or earlier termination.

Ms. Mello will continue to serve as a Vice President and the Secretary of the Company.
