Item 2.02. Results of Operations and Financial Condition.
On February 24, 2015, Jazz Pharmaceuticals Public Limited Company (the “Company”) issued a press release (the “Press Release”) announcing financial results for the Company the full year and fourth quarter ended December 31, 2014. A copy of the Press Release is furnished as Exhibit 99.1 to this current report.
The information in this Item 2.02 and in the Press Release furnished as Exhibit 99.1 to this current report shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section or Sections 11 and 12(a)(2) of the Securities Act of 1933, as amended. Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 19, 2015, Jeffrey Tobias, M.D., Executive Vice President, Research and Development and Chief Medical Officer of the Company, notified the Company that he will retire effective September 11, 2015. Dr. Tobias will serve in his current position until March 31, 2015 and starting on April 1, 2015, he will serve in a new position of Executive Vice President, R&D Strategy and Chief Medical Officer until his retirement from the Company.
