Item 8.01 Other Events
On February 22, 2015, the Board of Directors of Electro Scientific Industries, Inc. (the "Company") appointed Richard H. Wills as Chairman of the Board of Directors, replacing Jon Tompkins. Mr. Tompkins’ term as a director expires at the August 2015 annual meeting, and he is prohibited from being elected as a director for another term due to the age limitations in the Company's Corporate Governance Guidelines. Mr. Tompkins has been appointed Vice Chairman of the Board for the duration of his term.
