ITEM 2.02.  RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On February 19, 2015, Newmont Mining Corporation, a Delaware corporation (the “Company”), issued a news release reporting its fourth quarter and full year 2014 operating and financial results and 2015 outlook.  A copy of the news release is furnished as Exhibit 99.1 to this report.

Additionally, on February 19, 2015, the Company issued a news release reporting reserve and resource estimates as at December 31, 2014.  A copy of the news release is furnished as Exhibit 99.2 to this report.
