Item 8.01. Other Events.

 

On February 13, 2015, Civeo Corporation (the “Company”) publicly announced that it will hold its first Annual Meeting of Stockholders as an independent publicly traded company on May 14, 2015. Additional details regarding the annual meeting will be announced in due course.

 

The Company’s bylaws provide the manner in which stockholders may propose business (other than items brought under Rule 14a-8 under the Securities Exchange Act of 1934) and director nominations to be brought before the annual meeting. In order for an item to be properly brought before the meeting by a stockholder, the stockholder must be a holder of record at the time of the giving of notice, must be entitled to vote at the annual meeting and must comply with the advance notice and other procedures set forth in the bylaws. In addition to the other requirements set forth in the bylaws, the item to be brought before the meeting must be a proper subject for stockholder action, and the stockholder must have given timely advance written notice of the item. For notice to be timely, it must be delivered to the Company’s Corporate Secretary at the principal executive offices of the Company not later than the close of business on February 23, 2015. The notice must set forth the information required by the provisions of the Company’s bylaws dealing with stockholder proposals and nominations of directors, as applicable.
